Arineo is organized as an Employee Owned Company (EOC) under the responsibility of its employees. This means that Arineo does not belong to any single owner, external shareholder or investor – but is owned responsibly by us employees. Our unique model is based on a combination of an employee association and a foundation. This means that Arineo remains permanently independent as a company and cannot be sold, which helps us to remain successful in the long term.
The association consists of employees who have been employed by an Arineo Group company for at least six months. By becoming a member, you gain voting rights in the association but no shares in the Arineo Group.
Only Arineo employees can join the Arineo Employees’ Association. Only Arineo employees can join the Arineo Employees’ Association. Together with the foundation, the association ensures that Arineo remains responsibly owned and pursues a sustainable, employee-oriented approach. The association brings together interested employees and pools their interests. These are represented by the Executive Committee. By becoming members of the association, employees contribute to strengthening co-determination and representation of interests within the company. The Executive Committee and Board of the association also form the management of the Arineo Foundation.
The executive committee assumes essential supervisory and decision-making functions. It elects the members of the board of directors, monitors their work, and ensures that the association’s purposes are fulfilled. It is also responsible for appointing the supervisory board members of Arineo Holding GmbH and its subsidiaries.
The association’s board of directors is responsible for all association matters that are not explicitly assigned to other bodies. Its duties include preparing the general meetings, implementing resolutions, and managing the association.
The association’s general meeting takes place at least once a year to discuss key issues. The eleven-member association board is elected every three years. For example, the general meeting has the power to revise the executive committee’s decisions and amend the statutes.
The members of the executive committee and the board are the same as those of the association.
The foundation sets the framework for corporate governance and ensures that decisions are made in line with the principles of steward ownership. As a foundation-owned company, Arineo is 100% owned by the Arineo Foundation, similar to established companies such as Bosch or Zeiss.
The profits generated by Arineo benefit only the company and the employees.
They are reinvested in developing our team, expanding our range of services, and continuously improving the quality of our services, ensuring the company’s sustainability while creating an attractive working environment.
Arineo’s management works closely with the foundation’s executive committee and other bodies, such as the supervisory board. Regular meetings are held to coordinate and deal with all relevant topics.
Arineo’s supervisory board consists of six members:
elected employees
the chair of the association foundation
external individuals appointed by the association board.
The supervisory board is responsible for appointing and removing the management board and ensuring that only Arineo GmbH employees are appointed to management roles.
The structure of our organization forms the foundation of our model as an employee-owned company. It is designed to safeguard the autonomy, long-term success, and independence of the Arineo Group.
